These Terms and Conditions govern your access to and use of the TimeHive platform, website, applications, dashboards, APIs, documentation, and related services (together, the Service).
By registering for an account, accessing the Service, or using any part of TimeHive, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company, organisation, or other legal entity, you confirm that you have authority to bind that entity to these Terms and Conditions. In that case, references to you and your mean that entity as well as its authorised users.
1. Definitions
In these Terms and Conditions, the following definitions apply:
- Account means a registered TimeHive account used to access the Service.
- Authorised User means any individual permitted by you to access or use the Service under your Account.
- Customer Data means any data, content, records, metrics, configuration, prompts, files, logs, documents, reports, and information submitted to, transmitted through, or stored within the Service by or on behalf of you.
- Documentation means any usage guides, technical materials, support content, and explanatory materials made available by TimeHive.
- Fees means subscription fees and any other charges payable for the Service.
- Free Plan means any no-cost version of the Service made available by TimeHive.
- Integrations means connections between the Service and third-party platforms, software, APIs, workflows, automation tools, or services.
- Organisation means the business, company, or entity that owns or administers an Account.
- Service means the TimeHive software-as-a-service platform and all related services provided by TimeHive.
- Subscription Term means the period during which you are entitled to use the paid Service under your selected plan.
- TimeHive, we, us, and our mean the operator of the TimeHive platform.
- Usage Data means technical, operational, diagnostic, and analytics data relating to the performance and use of the Service.
2. About the Service
TimeHive is a software platform designed to help organisations record, analyse, report on, and evidence time savings and operational value generated through automations, workflows, AI systems, and related digital processes.
The Service may include features such as:
- capturing automation or workflow execution records
- tracking estimated or calculated time savings
- producing dashboards, charts, summaries, and reports
- supporting integrations with third-party systems
- providing visibility into automation activity, performance, and return on investment
- managing documentation, records, and related business data within the platform
We may improve, modify, replace, suspend, or remove features from time to time. We do not guarantee that any particular feature, integration, or functionality will always be available.
3. Eligibility and Authority
You may only use the Service if:
- you are at least 18 years old
- you have legal capacity to enter into a binding agreement
- you are not prohibited from using the Service under applicable law
- all registration information you provide is accurate and complete
You are responsible for ensuring that all Authorised Users within your Organisation comply with these Terms and Conditions.
4. Account Registration and Security
To access some or all of the Service, you may be required to create an Account. You must provide accurate, current, and complete information during registration and keep that information updated.
You are responsible for:
- maintaining the confidentiality of login credentials
- restricting access to your Account
- all activity that occurs under your Account
- ensuring that each Authorised User has appropriate permission to access relevant data
You must notify us promptly if you become aware of any unauthorised access, credential compromise, or security breach affecting your Account or the Service.
We are not liable for loss or damage arising from your failure to maintain appropriate account security.
5. Licence and Permitted Use
Subject to your compliance with these Terms and Conditions and payment of applicable Fees, TimeHive grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable Subscription Term to access and use the Service for your internal business operations.
You must not, except where expressly permitted by law:
- copy, reproduce, republish, distribute, or commercially exploit the Service
- license, resell, rent, lease, transfer, assign, or otherwise make the Service available to third parties
- modify, adapt, translate, or create derivative works based on the Service
- reverse engineer, decompile, disassemble, or attempt to discover source code, underlying ideas, algorithms, or trade secrets
- access the Service to build a competing product or service
- use the Service in a way that exceeds usage limits, seat limits, or plan restrictions
- remove, alter, or obscure proprietary notices, branding, or legal notices
6. Acceptable Use
You must not use the Service:
- for any unlawful, fraudulent, deceptive, or harmful purpose
- to store, transmit, or process material that is defamatory, obscene, abusive, discriminatory, or infringing
- to upload malware, ransomware, viruses, or other malicious code
- to probe, scan, test, or circumvent the security or integrity of the Service or any related system
- to interfere with or disrupt the availability or performance of the Service
- to gain unauthorised access to accounts, systems, data, or networks
- to submit false, manipulated, or misleading records for the purpose of misrepresenting business performance or automation outcomes
- in a manner that breaches any applicable law, regulation, contractual duty, or third-party right
We may investigate suspected misuse and may suspend or restrict access where reasonably necessary to protect the Service, our customers, or third parties.
7. Customer Data
As between the parties, you retain ownership of your Customer Data. You grant TimeHive a non-exclusive, worldwide, limited licence to host, copy, process, transmit, store, display, and use Customer Data only to the extent necessary to:
- provide, maintain, secure, and improve the Service
- perform support, backup, monitoring, and administrative functions
- generate reports, analytics, and outputs requested through the Service
- comply with legal obligations and enforce these Terms and Conditions
You are solely responsible for the legality, accuracy, quality, integrity, reliability, and rights clearance of all Customer Data submitted to the Service.
You confirm that you have all necessary rights, permissions, notices, and lawful bases required to submit Customer Data to the Service and to permit its processing by TimeHive.
8. Data Accuracy, Metrics, and Reporting
The Service may generate calculations, estimates, analytics, benchmarks, summaries, charts, and reports based on Customer Data, user inputs, assumptions, rules, configurations, and data supplied via Integrations.
Any estimates of time saved, value created, efficiency gained, or return on investment are analytical outputs only. They are not guarantees, financial advice, accounting advice, audit opinions, legal advice, or factual certifications.
You acknowledge and agree that:
- outputs depend on the completeness and accuracy of source data
- calculations may rely on configurable assumptions or user-defined logic
- reports may contain estimates rather than directly observed outcomes
- you are responsible for independently reviewing outputs before relying on them for operational, financial, tax, regulatory, or legal decisions
TimeHive does not warrant that any metric, estimate, report, or output generated by the Service will be accurate, complete, or suitable for any specific purpose.
9. Integrations and Third-Party Services
The Service may support Integrations with third-party tools, platforms, APIs, and services. Your use of such Integrations may require separate accounts, credentials, permissions, and acceptance of third-party terms.
You acknowledge that:
- third-party services are outside our control
- their availability, performance, and security may change without notice
- we are not responsible for acts, omissions, outages, data loss, pricing changes, or functionality changes affecting third-party services
- we may disable or remove an Integration at any time if needed for legal, technical, commercial, or security reasons
Where you connect the Service to third-party systems, you authorise us to access and process relevant data from those systems in accordance with your configuration and instructions.
10. AI Features and Generated Content
If the Service includes AI-assisted features, generated summaries, recommendations, categorisations, calculations, or drafted content, those outputs are provided for informational assistance only.
AI-generated outputs may be incomplete, inaccurate, inconsistent, or unsuitable for your intended purpose. You are responsible for reviewing and validating all generated content before use.
You must not rely on AI-generated outputs as the sole basis for legal, financial, compliance, employment, tax, or other material decisions.
11. Free Plans, Trials, and Beta Features
We may offer Free Plans, trial access, evaluation accounts, or beta features. These may be subject to additional limits, restrictions, or exclusions.
Unless otherwise stated, Free Plans, trials, and beta features are provided on an as is and as available basis without any warranty, support commitment, service level, or guarantee of continued availability.
We may modify, suspend, restrict, or discontinue Free Plans, trials, or beta features at any time without liability.
12. Fees, Billing, and Payment
Paid access to the Service is provided on a subscription basis. You agree to pay all applicable Fees in accordance with your selected plan and billing cycle.
Unless otherwise stated:
- Fees are payable in advance
- Fees are non-cancellable and non-refundable during the current billing period, except where required by law
- you authorise us and our payment processors to charge the selected payment method for all Fees due
- prices may be changed on notice for future billing periods
- all amounts are exclusive of taxes unless expressly stated otherwise
You are responsible for providing complete and accurate billing information and for keeping payment details up to date.
If payment is overdue, we may suspend or restrict access to the Service until outstanding amounts are paid.
13. Subscription Renewals and Cancellation
Unless your plan states otherwise, paid subscriptions renew automatically at the end of each billing period.
You may cancel your subscription before the next renewal date through your account settings or by contacting us. Cancellation will usually take effect at the end of the current paid billing period, and you will retain access until that period expires.
Cancelling a subscription does not relieve you of any obligation to pay Fees already due.
14. Suspension and Termination
We may suspend, restrict, or terminate your access to the Service immediately if:
- you breach these Terms and Conditions
- payment is overdue
- your use presents a security risk
- your use may harm the Service, other customers, or third parties
- we are required to do so by law or by a competent authority
We may also suspend access on a temporary basis where reasonably necessary for maintenance, updates, emergency fixes, or security remediation.
You may stop using the Service at any time. You may request account closure, subject to completion of any outstanding payment obligations and any retention periods required by law or our legitimate operational needs.
On termination or expiry, your right to access and use the Service ends immediately, except where continued limited access is expressly provided. We may delete or irreversibly anonymise Customer Data after a reasonable post-termination period, subject to applicable law and our internal backup and retention procedures.
15. Intellectual Property Rights
The Service, including all software, code, technology, databases, user interfaces, design elements, content, trademarks, branding, know-how, methodologies, Documentation, and all related intellectual property rights, are owned by or licensed to TimeHive.
Except for the limited rights expressly granted in these Terms and Conditions, no rights are granted to you by implication, estoppel, or otherwise.
You must not use the TimeHive name, logo, branding, or other marks without our prior written consent, except as strictly necessary to identify us as your service provider.
16. Feedback
If you provide suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback relating to the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, incorporate, disclose, reproduce, modify, and exploit that feedback without restriction or obligation to you.
17. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Confidential information includes business, technical, financial, operational, product, security, and commercial information that a reasonable person would understand to be confidential.
The receiving party must:
- use the confidential information only as necessary to perform or exercise rights under these Terms and Conditions
- protect it using reasonable care
- not disclose it to third parties except to employees, advisers, contractors, or subprocessors who need to know it and are bound by appropriate confidentiality obligations
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before disclosure, is lawfully received from a third party without restriction, or is independently developed.
18. Data Protection and Privacy
Our handling of personal data is governed by our Privacy Policy and, where applicable, any separate data processing agreement made available by us.
Where we process personal data on your behalf as a processor, you remain responsible for ensuring that you have a valid legal basis and all necessary notices, permissions, and instructions required under applicable data protection law.
You must not use the Service to process personal data in breach of applicable privacy or data protection legislation.
19. Availability, Support, and Changes to the Service
We aim to provide a reliable service, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
Scheduled and unscheduled downtime may occur. We may perform maintenance, deploy updates, apply patches, or make technical changes without notice where reasonably necessary.
We may change, replace, or discontinue any part of the Service, including features, integrations, limits, pricing, user interface elements, data models, and functionality.
20. Warranties Disclaimer
To the maximum extent permitted by law, the Service is provided on an as is and as available basis.
TimeHive disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, quiet enjoyment, and accuracy.
We do not warrant that the Service will meet your requirements, achieve any intended result, produce accurate metrics, integrate with every third-party service, or operate without interruption or error.
21. Limitation of Liability
Nothing in these Terms and Conditions excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the paragraph above, to the maximum extent permitted by law, TimeHive will not be liable to you for any:
- loss of profits
- loss of revenue
- loss of business
- loss of contracts
- loss of goodwill
- loss of anticipated savings
- loss of data
- business interruption
- indirect, incidental, special, exemplary, or consequential loss or damage
Subject to the above, our total aggregate liability arising out of or in connection with the Service or these Terms and Conditions, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not exceed the total Fees paid by you to TimeHive in the 12 months immediately preceding the event giving rise to the claim.
If you use a Free Plan, trial, or beta feature, TimeHive's total liability in connection with that use will not exceed £100.
22. Indemnity
You agree to indemnify, defend, and hold harmless TimeHive, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Service in breach of these Terms and Conditions
- Customer Data submitted by or on behalf of you
- your breach of applicable law, regulation, or third-party rights
- your misuse of Integrations or third-party services connected to the Service
23. Export Control and Sanctions
You must not access or use the Service in violation of any applicable export control, trade sanctions, or import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any prohibited country or restricted party list where use of the Service would be unlawful.
24. Publicity
Unless otherwise agreed in writing, we may identify your Organisation name and logo in customer lists or general marketing materials solely for the purpose of indicating that you are or have been a customer of TimeHive.
If you do not want this, remove this clause before publication or add an express opt-out process in your application settings.
25. Force Majeure
We will not be liable for any delay or failure to perform our obligations where that delay or failure results from causes beyond our reasonable control, including internet failures, cloud provider outages, telecommunications failures, labour disputes, acts of government, natural disasters, civil unrest, war, terrorist acts, epidemics, pandemics, or denial of service attacks.
26. Changes to These Terms and Conditions
We may update these Terms and Conditions from time to time. The updated version will be published on our website or within the Service, together with the revised effective date.
If a change materially affects your rights or obligations, we may provide additional notice where reasonably practicable. Your continued use of the Service after the effective date of the updated Terms and Conditions constitutes acceptance of the revised version.
27. General
- Entire agreement. These Terms and Conditions, together with any applicable order, pricing page, Privacy Policy, and data processing agreement, form the entire agreement between you and TimeHive regarding the Service.
- No waiver. A failure or delay in exercising any right does not operate as a waiver of that right.
- Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent. We may assign or transfer our rights and obligations as part of a merger, acquisition, corporate reorganisation, or sale of assets.
- Third-party rights. A person who is not a party to these Terms and Conditions has no right to enforce them, except where expressly stated otherwise.
- Relationship of the parties. Nothing in these Terms and Conditions creates a partnership, joint venture, agency, fiduciary, or employment relationship between the parties.
28. Governing Law and Jurisdiction
These Terms and Conditions and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, whether contractual or non-contractual, are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or the Service.
